Messrs Saindak Metals Ltd. through Managing Director V. Chairman, Federal Board of Revenue and 3 others,
PTD 2017 2227 · Balochistan High Court
Saindak Metals Limited, a company involved in mining and metallurgical processing at Saindak, Balochistan, had leased its project to a Chinese company and received income as rent and a share of profits. In its tax returns, Saindak Metals classified this income as "income from business," which allowed it to claim benefits from past business losses. The tax authorities initially accepted this classification but later realized it was a mistake, since the income was actually from renting out the project rather than from carrying on business itself. The Commissioner issued a rectification notice under section 221 of the Income Tax Ordinance, 2001, reclassifying the income as "income from other sources," which meant the company could no longer offset its brought-forward business losses. Saindak Metals challenged this, arguing that the correction was time-barred and exceeded what rectification under section 221 could achieve, and that such changes should only have been made through the amendment procedure in section 122, which has stricter time limits.
The Balochistan High Court rejected the company's arguments. It explained that section 122 deals with amending a taxpayer's return, while section 221 allows tax authorities to correct their own clear, apparent mistakes in earlier orders. Since the original acceptance of "business income" was a fundamental error that helped avoid proper tax payment, correcting it fell squarely within section 221, not section 122. The court found no illegality and upheld the rectification, meaning the company's income was correctly reclassified and it could not claim the disputed loss benefits.
