Arbitration Judgment in Aviation Case by Supreme Court of Pakistan

PLJ 2018 SC 504 · Sindh High Court

This case involved a dispute between Gerry's International, a Pakistani company, and Aeroflot Russian International Airlines. In 1993 the two signed an agreement making Gerry's a sales agent for Aeroflot tickets in Pakistan. Aeroflot cancelled the agreement in 1994, leading to competing lawsuits. Aeroflot also sued Gerry's for over Rs. 97 million allegedly owed under the agreement. Both disputes were sent to arbitration as per the agreement's terms, and in 1997 an arbitration panel ruled in Aeroflot's favor, awarding it over Rs. 35 million. Courts upheld this award. Aeroflot then sought to have Gerry's company wound up (dissolved) for failing to pay the decreed amount.

The Supreme Court addressed two main issues: whether courts can overturn an arbitration award by re-examining the evidence, and whether Aeroflot's registration status as a foreign company in Pakistan affected the validity of its claims. The Court held that courts cannot act as an appellate body over arbitrators, reassessing evidence or substituting their own judgment for the arbitrator's — they can only intervene for clear errors on the face of the award or misconduct in proceedings. The Court also found that any delay in Aeroflot's company registration was a curable defect under the Companies Ordinance, not one that invalidated its legal claims.

This judgment reinforces the principle that arbitration awards deserve finality and limited judicial interference, which matters for busines
