Every Corporation is liable to pay tax

PLJ 2010 Tax Cases (Lah.) 6 · Not specified

This case involved a government irrigation department (Lower Jehlum Canal Quarry Sub-Division) that supplied stones for flood protection and development works to other parts of the Irrigation Department in Punjab. It had been filing sales tax returns and paying sales tax for years. After an audit covering 2001 to 2005, the tax department found that the division had been miscalculating its sales tax by failing to include royalty, excise duty and other incidental charges in its tax base, as required by law. A tax demand of over one crore rupees was raised, and this was upheld by lower appellate forums.

The petitioner argued it was really just an arm of the Provincial Government, operating on a no-profit, no-loss basis, so it should not be taxed like a commercial entity. The Lahore High Court rejected this argument. It held that Article 165-A of the Constitution makes clear that government-owned or controlled corporations and bodies are still separate legal entities liable to tax on their income or business activities, regardless of who ultimately benefits from that income. The court also noted the petitioner's own conduct, filing returns and seeking a tax exemption, contradicted its claim of being exempt. However, the court did limit the tax department's power by ruling that under Section 36(2) of the Sales Tax Act, notices could only be issued for the three years before the notice, not further back.

The case confirms that government-linked entities cannot escape sales tax merely by claiming to be part of the state, while also protecting taxpayers from open-ended retrospective tax claims beyond the statutory limitation period.
