Termination of Agency of Contract
PLJ 2007 · Sindh High Court
This case involved a dispute between an advertising agency and a bank over a terminated advertising agreement. The agency had been appointed as the bank's exclusive advertising agent, with the contract set to run for an initial period and then automatically renew, and with a clause requiring two months' advance notice for termination by either side. The agreement also contained an arbitration clause requiring disputes to be resolved by arbitrators rather than through ordinary litigation. When the bank sought to end the relationship, the agency approached the Sindh High Court, arguing the termination was premature and that its agency was a special kind called an agency coupled with interest, which under the Contract Act cannot be revoked without honoring that interest.
The court held that genuine disputes about whether proper notice was given had to go to arbitration, as the parties had agreed. On the substantive point, the judge found that this agency was not coupled with interest, since it lacked any pre-existing interest of the agent in the subject matter being protected, so it did not qualify for special protection against revocation. Even if termination was premature or improper, the court said money damages, not an order forcing the bank to continue the relationship, was the appropriate remedy. The court allowed the matter to proceed to arbitration while declining to grant the injunction sought.
This matters because it clarifies that most commercial agency agreements can be ended by payment of damages rather than forced continuation, and that arbitration clauses will generally be enforced over court intervention.
