What was it about: PASSCO, a government body, signed a contract to sell 25,000 metric tons of wheat to an exporting firm, allowing 60 days to lift the wheat and then three calendar months after lifting to submit export documents proving the wheat was actually exported. When the buyer could not lift the wheat in time, intervenors stepped in to save the deal, and the agreement was amended, reducing quantity and imposing a penalty. There was also an earlier irrevocable power of attorney that was cancelled. After a lawsuit, an interim injunction, and eventually a compromise between the parties, the court had already decreed the case according to that compromise, and PASSCO had acted on it. The petitioner then asked for more time to arrange exports, made arrangements to export wheat abroad, but PASSCO refused to accept his export documents, arguing the three-month deadline in the contract had passed.
What the court decided: The judge held that time was not "of the essence" of this contract, meaning strict deadlines were not so critical that missing them should void the petitioner's rights. Therefore PASSCO's refusal to accept the export documents could not be legally justified. The court gave the petitioner a fresh three-month period from the date of the judgment to export the wheat and submit the required documents, which PASSCO would then have to consider.
