Lafarge Pakistan Cement Ltd. through Attorney V. Messrs Decent Coal Company through Managing Director,

PLD 2017 Balochistan 11 · Balochistan High Court

This case involves a business dispute between Lafarge Pakistan Cement Ltd and Decent Coal Company over payment for a coal supply contract. The coal company sued in Quetta for recovery of about 15.2 million rupees, claiming the cement company had withheld payment for coal already delivered and caused additional losses. The cement company, based in Islamabad, argued that the Quetta court had no jurisdiction since it does not do business there, and asked for the case file to be sent back so the suit could be filed in Islamabad instead. The trial court rejected this request, and the cement company challenged that decision before the Balochistan High Court.

The High Court examined how the contract was actually formed. The parties had communicated by email and fax: an offer was sent from Islamabad, but it was accepted by the coal company from Quetta and communicated back. The court explained a key legal principle: when contracts are made through letters or electronic correspondence, the contract is considered complete at the place and time the acceptance is sent, not where it is later received. Since acceptance was dispatched from Quetta, that is where the cause of action arose, giving Quetta courts jurisdiction. The court dismissed the cement company's appeal, confirming the suit could proceed in Quetta. This ruling clarifies how jurisdiction is determined in disputes arising from contracts formed through email and fax communication.
