Dr. Rashid Tarin V. The Government of Balochistan through Chief Secretary, Civil Secretariat, Quetta and 2 others,

CLD 2024 948 · Balochistan High Court

This case concerns the appointment of the Chief Executive Officer of the People's Primary Health Initiative Balochistan (PPHI-B), a public sector company that manages basic health units in rural Balochistan under the Companies Act, 2017. The petitioner, a member of the company's Board of Directors, challenged the government's notification appointing a new CEO, arguing that the proper legal procedure and eligibility criteria had not been followed.

The government first argued that the petitioner had no standing to bring the case. The Balochistan High Court rejected this, holding that when a petition seeks a "writ of quo warranto" (challenging someone's authority to hold a public office), the person raising the challenge does not need to be personally aggrieved.

On the merits, the court examined the Companies Act 2017, the Public Sector Companies (Corporate Governance) Rules 2013, SECP guidelines, and the company's own Articles of Association. These required the Board to evaluate candidates, recommend at least three names to the government, and only then have the government's chosen nominee formally appointed by the Board. The court found that this required process had not been properly followed in appointing the private respondent as CEO.

As a result, the court struck down the appointment notification and ordered the authorities to conduct a fresh, merit-based selection process in accordance with the law. The ruling reinforces that appointments to public sector company leadership must strictly follow prescribed legal procedures, not just government preference.
